Backhaul Terms of Service
Last updated: November 6, 2026
These terms are an agreement between you and Northgrey Enterprises Inc. (“we”, “us”), which operates the Backhaul app (“Backhaul”). By creating an account or using Backhaul, you agree to these terms and to our Privacy Policy.
1. What Backhaul is
Backhaul is a marketplace that lets shippers post freight loads and lets carriers make offers on them. When a shipper accepts an offer, the shipper and that carrier can see each other’s contact details and message each other to complete the shipment.
Backhaul is not a carrier, freight broker, or freight forwarder. We do not transport, store, or take possession of freight, and we are not a party to any agreement between a shipper and a carrier. The shipper and the carrier are solely responsible for the shipment, including its price, payment, timing, loading, securing, insurance, and delivery.
2. Your account
- You must be at least 18 and use Backhaul for business purposes.
- The information you give us, including your company name, phone number, and email, must be accurate and kept up to date.
- You are responsible for everything done with your account. Keep your login private and tell us right away if you think someone else has used it.
3. Shippers
- Describe each load accurately, including its weight, dimensions, pickup and delivery details, and any special handling.
- Do not post dangerous goods unless the load is clearly described and the carrier is licensed and equipped to carry them.
- Pay the selected carrier the amount you agreed, on the terms you agreed directly with them.
- For trailer moves, make sure the trailer is safe and legal to tow, and describe its condition, hitch, and ball size accurately.
- For livestock, make sure the animals are fit to travel and that loading arrangements are as described.
- If you set a load to repeat, each new posting is a new load you are responsible for until you stop the repeat.
4. Carriers
- You must hold and keep current every licence, registration (including a valid CVOR where required), permit, and insurance that the law requires for the freight you haul.
- Any CVOR number or insurance details you enter in Backhaul must be true and current. We do not verify them, and shippers should confirm them before handing over freight.
- Only offer on loads you can legally and safely carry, and honour offers that a shipper accepts.
- Do not use Backhaul while driving.
- When carrying livestock, follow the federal Health of Animals Regulations and any provincial rules on animal transport.
5. Offers, bookings, and payment
An offer is your proposal to carry a load at the price and times you state. When a shipper accepts an offer, the load is booked and other pending offers on it close. Open loads close automatically after their pickup date passes without a booking.
Backhaul does not process freight payments. Any payment, invoice, tax, claim, or dispute about a shipment is between the shipper and the carrier.
Backhaul can create invoice PDFs and QuickBooks export files from the details you enter, as a convenience. Carriers are responsible for the amounts, tax rates, HST/GST registration, and anything else on their invoices, and for keeping their own accounting records.
6. Subscriptions
Backhaul is currently free to use. In the future, some or all features may require a paid subscription, purchased through Google Play or the Apple App Store. Before you buy, the price, billing period, any free trial, and renewal terms will be shown to you. Subscriptions renew automatically until you cancel. You can cancel at any time in Google Play or in your Apple account settings, and the subscription stays active until the end of the paid period. Refunds follow Google Play’s or Apple’s policies. Deleting your account does not cancel your subscription. If we start charging for features you already use, we will tell you in advance.
7. Acceptable use
You must not post false, misleading, or illegal content; harass, threaten, or abuse other users, including in messages; use Backhaul for fraud or spam; collect other users’ information for purposes other than completing a shipment; or try to interfere with or break into Backhaul. You can report and block other users in the app. We review reports and may remove content and suspend or close accounts that break these terms.
8. Ratings and content
You are responsible for what you post, including loads, offers, messages, photos, and reviews. You give us permission to store and show that content in Backhaul as needed to run the service. Reviews must be honest and based on a real shipment.
9. Disclaimers and limits on liability
Backhaul is provided “as is” and “as available”. We do not guarantee that loads will be booked, that users are who they say they are, or that the service will always be available or error-free. Map, address, and distance information is approximate.
To the fullest extent permitted by law, we are not liable for any loss, damage, delay, injury, or claim arising from freight, a shipment, or dealings between users, or for indirect or consequential losses. Our total liability to you for any claim related to Backhaul is limited to the amount you paid us for Backhaul in the 12 months before the claim.
You agree to indemnify us against claims arising from your loads, offers, shipments, content, or breach of these terms.
10. Ending your use
You can stop using Backhaul and delete your account in the app at any time, as described in the Privacy Policy. We may suspend or end your access if you break these terms or if we stop offering Backhaul.
11. Changes
We may update these terms. We will post the new version here and update the date above, and tell you in the app or by email if the changes are significant. Continuing to use Backhaul after a change means you accept the updated terms.
12. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be heard in the courts of Ontario.
